GBH Law advises longstanding client Freight Software Group on significant deals

Independent Surrey law firm GBH Law has advised one of its longstanding clients, Freight Software Group, on two significant corporate transactions this year.

In May, specialist technology provider Freight Software Group sold its subsidiary, Forward Computers, to the Cardinal Partnership, Davies Turner and the Woodland Group who formed a joint venture – Forward Computers Alliance Limited. The sale creates a key player in the freight management software sector, well-positioned to offer a range of processes and systems that deliver success.

Drawing on their knowledge of Freight Software Group, built up over the past few years, the GBH Law team was able to provide forward-thinking advice and guidance throughout the stringent due diligence process, contributing to a successful transaction.

Corporate partner Kate Doody, who was assisted by associate Clare Stephens, commented “We were pleased to assist our clients Freight Software Group on this important deal, which reflects on the quality and success of Forward Computers and the potential it has to continue to make an impact in the logistics sector.”

Hot on the heels of the sale of Forward Computers, GBH Law also advised Freight Software Group on the sale of another subsidiary – BoxTop Technologies Limited – to Descartes System Group, a global leader in logistics and commerce for approximately £10.25 million in June 2024. BoxTop Technologies is a leading provider of shipment management systems for small to medium sized logistics providers and the acquisition will allow Descartes to offer increased value to logistics service providers.

Christopher Hewlett, CEO of Freight Software Group said of both the deals “We were excited to embrace the opportunities offered by Forward Computers Alliance and Descartes, and very much appreciated the legal advice provided by Kate and Clare, who know the business well. It allowed us to get the deals over the line in a smooth and efficient manner. We look forward to seeing two of our valued subsidiaries grow and prosper under their new ownership.”
